Changes in Roche Shareholder Pool

BASEL, Switzerland, March 24, 2011 - The majority of the direct descendants of company founder
Fritz Hoffmann-La Roche have decided to continue the shareholder pooling
agreement existing since 1948 with a modified shareholder composition. A
charitable foundation established by pool members has been admitted to the
pool. Maja Oeri has decided to leave the pool. The pool therefore now has
45,01 % of the votes in Roche but will ensure continuity through its dominant
position as the largest shareholder on a long term view.
The shareholder pooling agreement which has existed since 1948
between the direct descendants of company founder Fritz Hoffmann-La Roche was
renewed in 2009 with a changed shareholder composition. The majority of
family members have now decided to continue the pooling agreement with a
slightly modified composition. On the one hand, a charitable foundation
established by several pool members has been admitted to the pool, thereby
documenting the long-term nature of the family's association with the
company.
On the other hand, Maja Oeri has decided to leave the pool.
Maja Oeri will exercise her shareholder rights independently. As a result,
the pool will in future consist of: Vera Michalski-Hoffmann, Maja Hoffmann,
André Hoffmann, Andreas Oeri, Sabine Duschmalé-Oeri, Catherine Oeri, Jörg
Duschmalé, Lukas Duschmalé and now also the charitable foundation Wolf.
The shareholder group with linked voting rights now holds
72'018'000 shares in the pool, corresponding to 45,01% of the bearer shares
issued. Even though it no longer holds a voting majority, the pool remains by
far the most significant shareholder. It remains committed in the long term
to the overall interests of the company with headquaters in Basel and to this
company's independence. Maja Oeri, as a major individual shareholder with 5 %
of the voting rights, also continues to share this view.
