NEW YORK, April 26, 2011 - Cosan S.A. Industria e Comercio (the "Company" or "Cosan") today
confirmed the Friday April 29, 2011 Expiration Date of its
previously-announced Consent Solicitation to amend certain provisions of the
indenture governing its 8.25% Perpetual Notes issued in 2006 (the "Notes").
Record Holders as of April 4, 2011 who consent before this time will be
eligible to receive a consent payment of $2.50 per $1,000 of aggregate
principal in respect of which they deliver (and do not subsequently validly
withdraw) their consents.

Additionally, on April 14, 2011 the Company delivered an irrevocable
notice to the trustee to call the 8.25% Perpetual Notes in their entirety on
May 15, 2011. The irrevocable calling of the notes will have no effect on the
terms of the Consent Solicitation. The Solicitation will remain open until
its Expiration Date and the Notes will be called on May 15, 2011.

If valid consents from holders representing a majority of the 8.25%
Perpetual Notes are received by the Company prior to 5:00pm New York City
time on April 29th, 2011, then validly consenting Holders will be paid $2.50
per $1,000 of principal amount. Holders of the Notes are strongly encouraged
to contact their bank, broker, or custodian immediately in order to provide
consents prior to the Expiration Date. Regardless of whether an individual
holder participates in the Consent Solicitation and irrespective of the
success of the Consent Solicitation as a whole, the Notes will be called in
their entirety on May 15, 2011.

Holders who do not provide their consent prior to the Expiration Date, or
who validly revoke their consent, will not receive the Consent Fee.
