Endeavour Announces $110 Million Offering of Convertible Senior Notes

HOUSTON, July 18, 2011 -
Endeavour International Corporation (NYSE: END) (LSE: ENDV)
today announced that it intends to offer, subject to market and
other conditions, up to $110 million aggregate principal amount of
its convertible senior notes due 2016 in a private placement to
eligible purchasers. Endeavour also intends to grant to the
initial purchasers of the notes an option to purchase up to an
additional $15 million of notes to cover over-allotments, if
any.
Endeavour intends to use substantially all of the net proceeds
of this offering to fund its pending acquisition of acreage and
related midstream assets in the Marcellus shale play. The
remainder, if any, will be used for general corporate purposes,
including funding a portion of Endeavour’s 2011 capital
program.
