INVENTORISTE: Franchise Agreement in Morocco

MAUREPAS, France, July 8, 2010 - In early July, INVENTORISTE signed its first franchise agreement in
Morocco with the company INVENTORIS, within the framework of a structure that
will use the IVALIS Maroc brand.

Based in Casablanca, INVENTORIS is a specialist in inventory
sub-contracting and already boasts a large client base.

The synergies resulting from this operation are immediate for
INVENTORISTE as it will complement the geographic coverage of the group,
as well as provide support to clients with stores in Northern Africa.

The methods, procedures and tools used by IVALIS Maroc will be identical
to those used by the group, thereby offering a level of quality and accuracy
equivalent to that of other subsidiaries.

Following the complete takeover of the Belgian firm CONSULT-IN during
December 2009, and the establishment of the Polish subsidiary IVALIS Polska
in February 2010, INVENTORISTE is once again reinforcing its international
position.

INVENTORISTE was established in 1991 and is a specialist firm in
outsourcing physical stock inventories, primarily in the retail sector. The
group has 13 branches across France, in addition to subsidiaries in Spain,
Italy, Belgium and Poland and a branch in Portugal.

Mr Frédéric Marchal entered into a partnership with ACTO CAPITAL on 3
July 2009, within a structure named KAMINO, in order to support the
continuation and development of INVENTORISTE business activities. Following
the price guarantee period, which ended on 24 August 2009, KAMINO had a
94.875% holding in capital and voting rights for the INVENTORISTE group and
has not launched a takeover bid to date.
